Membership Charter

PREAMBLE
This Membership Charter ("Charter") serves as the guiding document for the Caffeine Porsche Club ("Club"). As simply a club dedicated to fostering camaraderie among Porsche enthusiasts who share a passion for excellence, luxury, good food and the thrill of driving the open road, this Charter outlines the principles, rights, and responsibilities that govern the membership.
I. NAME AND PURPOSE
A. Name: The official name of the club shall be the "Caffeine Porsche Club," hereinafter referred to as the "CPC or Club."
B. Purpose:
The Club was established in 2024 to simply bring together individuals who share a common interest in Porsche automobiles, promote safe and responsible driving, encourage camaraderie among members, enjoy fine foods, unique destinations and celebrate the culture and heritage of the Porsche brand.
II. MEMBERSHIP ELIGIBILITY
A. “Full Members” Qualifications: Full Membership (limited to 100 at any one time) in the Club is open to individuals who currently own a Porsche vehicle, demonstrate a commitment to upholding the values of the Club, and adhere to the rules and regulations outlined within this Charter.
B. “Board Members” Qualifications": Board Members (a minimum of 3 to a maximum of 5) in the Club is open to individuals who currently own a Porsche vehicle, demonstrate a commitment to upholding the values of the Club, and adhere to the rules and regulations outlined within this Charter. New board members have to be voted in by other Board Members currently in capacity.
C. Application Process: Prospective members must be referred by a current full member in good standing and submit a completed and signed agreeance to the charter, rules and hold harmless agreement, providing accurate and truthful information about themselves and their Porsche vehicle associated with their membership. The "Membership" responsible Board Member will review applications and make recommendations to the Executive Board as a whole for membership approvals.
III. RIGHTS AND RESPONSIBILITIES OF MEMBERS
A. Rights:
- Right to participate in Club events, activities, and programs.
- Right to vote on Club matters during general meetings.
- Right to access Club resources and benefits as they mature and develop.
- Full Membership reserves the right to proudly and safely display the “Membership Dashboard Plaque” (only supplied with a Full Membership) on the driver side dashboard proudly illustrating Full Membership within the club.
Note - Membership Dashboard Plaque's are to be returned upon leaving, termination or the ending of ones membership and remain the property of the Caffeine Porsche Club.
B. Responsibilities:
- Adherence to the Club's Code of Conduct.
- Hold a valid Province of Ontario driver’s licence
- Hold valid proof of insurance
- Timely payment of the initial “One-Time” Full Membership cost.
- Timely payment of membership yearly dues.
- Participation in Club events to foster a sense of community.
- Respect for fellow members and their vehicles.
- Compliance with local traffic laws and regulations to and from / during Club activities.
IV. MEMBERSHIP DUES
A. Annual Dues: Members are required to pay annual membership dues as determined by the Executive Board. Failure to pay dues may result in suspension or termination of membership.
- Payment of the initial “One-Time” Full Membership dues.
- $100.00 for the first 25 initial members (leaving 75 remaining spots)
- $200.00 for the next 25 members (leaving 50 remaining spots)
- $300.00 for the next 25 members (leaving 25 remaining spots)
- $400.00 for the last outstanding 24 members (leaving 1 remaining spots of Membership #100 for $1,000.00)
- Timely payment of membership yearly dues. ($75.00) / Jan 03rd of each calendar year.
B. Payment Schedule: Dues shall be paid annually and are due on the 3rd of January each year.
V. AMENDMENTS TO THE CHARTER
A. Process: Amendments to this Charter may be proposed by any Club member and shall be discussed and voted upon during general and/or board meetings. A two-thirds majority vote of the “Full Membership” present is required for amendments to be adopted.
B. Ratification: Adopted amendments become effective immediately upon approval, unless otherwise specified in the amendment.
VI. DISSOLUTION
In the event of the Club's dissolution, all remaining assets shall be distributed to a charitable organization as determined by the Executive Board.
This Membership Charter is hereby adopted and enacted by the Executive Board of the "Caffeine Porsche Club" on this 2024.January.01.
